GOVERNANCE

We see strong governance as a key enabler of responsible growth. In addition to key policy updates, in 2024, we assessed our direct material supply chain to identify risks and improve compliance. 

Ethics and Compliance

Our Code of Ethical Conduct lays out the principles, expectations, and guidelines for responsible business. It also addresses key compliance topics, including anti-corruption, conflicts of interest, and workplace behavior, as well as a prohibition on retaliation. 

We introduce our Code to new employees and provide annual refresher training on Ethics and Compliance (E&C) topics to our employees. All of our people receive online training or are trained in person with a facilitator. Other E&C training is delivered based on risk, global and local trends, enforcement activity, and cultural improvements.

Product Quality and Safety

We aim to consistently deliver products and services that meet or exceed customer expectations in quality and safety.  

In 2024, we reduced the number of customer quality cases, particularly zero-kilometer cases that were identified and rectified before leaving our facilities. We also improved our parts per million metrics, a key indicator that measures the quality of products delivered. 

Our PHINIA Quality Award recognizes facilities that achieve a successful new product launch with excellent warranty performance and customer satisfaction. Our Blois, France, manufacturing and technical facility received our second annual PHINIA Quality Award with no zero-kilometer quality issues throughout 2024.

Human Rights and Ethical Business

For our business, a robust commitment to human rights is a cornerstone of our sustainability strategies. We have processes in place that enable us to proactively manage human rights risks within our supply chain.

We set clear expectations for our Tier 1 suppliers and promote improvements in human rights, the environment, and responsible sourcing. These practices are aligned with internationally recognized sustainability standards. 

We took a significant additional step in 2024 to enhance transparency across our supply chain, including sub-tier levels, actively mapping and monitoring beyond Tier 1 to gain deeper insights into potential risks throughout our supply network.

Cybersecurity and Data Protection

We’re committed to robust data privacy standards, and collect personal data only to the extent necessary and with explicit consent when required. We have also published a GenAI policy giving clear guidance to employees about acceptable use of GenAI tools. 

Our cybersecurity approach includes ongoing assessment and testing of policies and processes through third-party audits, independent assessments, tabletop exercises, threat modeling, and vulnerability testing. It also includes evaluating the effectiveness of our controls and oversight.
